When a startup’s own engineers sue the board over how a deal was structured, that tells you something about how it felt from the inside. Former Groq engineers and shareholders Benjamin Serebrin and Joshua Rubin filed suit in Delaware’s Court of Chancery, arguing Groq’s board sold off the startup’s core assets and best people to Nvidia while leaving smaller shareholders holding a hollowed out shell.
The deal, announced back in December 2025, was worth about 20 billion dollars. Roughly 17 billion came in as cash licensing fees, with another 3 billion set aside in Nvidia stock for around 200 Groq engineers who moved over.
The lawsuit claims the board accepted a conflicted deal, cashed out common shareholders cheap, ignored the upside, and denied some holders a vote. Groq’s chip technology reached full production at Nvidia back in August.
There is no direct Delaware precedent that treats an acqui-hire exactly like a traditional merger, so this case could end up drawing a new line for how these deals get judged. It is not only a Groq problem either.
Senators have already raised concerns about acqui-hire structures in AI, and reports say the Justice Department has been looking into them too. The AI chip race has made some engineers wildly wealthy and left others feeling shortchanged by the very deals that made the headlines.
That tension is going to keep showing up as more of these mega deals get signed. I still think the AI hardware boom is good for the people building it, over time.
But good intentions do not replace a fair cap table, and this case might be the one that forces boards to be more careful about it. Whatever a Delaware judge decides here will shape how the next big AI acqui-hire gets structured, and probably how it gets written about too.
